10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without considering any choice of law or conflict of law provisions that would apply the laws of any other jurisdiction. All terms used herein shall have the meanings ascribed to them by the Uniform Commercial Code as adopted in Pennsylvania.

Regarding any dispute arising under this Agreement, ComplianceMasters irrevocably submits to the jurisdiction of the courts of the Commonwealth of Pennsylvania or the district courts of the United States located in Pennsylvania. ComplianceMasters waives any objections to such jurisdiction. ComplianceMasters acknowledges that such disputes may be resolved conveniently in these courts and agrees not to seek dismissal or a change of venue based on convenience or interest of justice. Additionally, ComplianceMasters waives the right to a jury trial and agrees not to consolidate any such action with another action where a jury trial has not been waived.

11. Miscellaneous

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.
